Terms of Service

Effective Date: March 1, 2026

These Terms of Service ("Terms") govern your access to and use of the Dependra platform ("Service"), operated by Wadman Information Technologies AB, hereafter "Dependra" ("Company", "we", "us", or "our"), a company registered in Sweden.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Service Description

Dependra is an enterprise architecture and impact intelligence platform. The Service enables organizations to:

  • Model IT landscapes including applications, components, and their dependencies
  • Map and visualize system dependencies across the enterprise
  • Compute blast radius analysis to understand the downstream impact of system failures
  • Assess business impact by linking technical infrastructure to business capabilities and audiences
  • Receive health signals from your own monitoring tools and be alerted when a reported failure affects critical systems

Dependra does not observe, probe or poll your systems. It has no agents and makes no connections into your infrastructure. Health information reaches the Service only when your own monitoring sends it, through the Service's API; Dependra interprets those signals against the landscape you have modelled to determine impact. Whether a failure is detected at all, and how quickly, is a property of your monitoring, not of the Service.

The Service is provided as a multi-tenant Software-as-a-Service (SaaS) application hosted at dependra.io.

2. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old and have the legal authority to bind the organization you represent to these Terms.

3. Subscription Plans and Pricing

3.1 Available Plans

The Service is offered under multiple subscription tiers: Growth, Business, and Enterprise. Each plan includes different feature sets, user limits, and usage quotas as described on our pricing page.

3.2 Trial Period

We offer a 14-day free trial that requires no payment information. During the trial period, you have access to the trial plan features. At the end of the 14-day trial period, access to the Service is suspended until you subscribe to a paid plan. No charges will be incurred unless you explicitly select and subscribe to a paid plan. Trial accounts that remain inactive (no paid subscription) for 90 days after the trial period ends may be permanently deleted, including all associated data.

3.3 Billing

All subscriptions are billed upfront at the beginning of each billing period (monthly or annual, depending on your selection). Prices are listed in Euros (EUR) and are exclusive of applicable taxes unless otherwise stated.

3.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. Monthly subscriptions renew each month; annual subscriptions renew each year. You will be charged the then-current subscription rate at each renewal.

3.5 Plan Changes

  • Upgrades: Plan upgrades take effect immediately. You will be charged a prorated amount for the remainder of your current billing period at the higher plan rate.
  • Downgrades: Plan downgrades take effect at the end of your current billing period. You will retain access to your current plan's features until the period ends.

3.6 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for unused time within a billing period. You will continue to have access to the Service until the end of your paid period.

3.7 Non-Payment

We reserve the right to suspend or terminate your access to the Service for non-payment. If payment fails, we will attempt to notify you and provide a reasonable grace period to update your payment information before suspension.

4. Enterprise Agreements

Enterprise customers may enter into separate custom agreements that include tailored Service Level Agreements (SLAs), dedicated support, custom integrations, and other terms. In the event of a conflict between these Terms and a separate Enterprise agreement, the Enterprise agreement shall prevail for the scope of that engagement.

5. Data and Privacy

5.1 Your Data

You retain all rights to the data you input into the Service ("Customer Data"). We process Customer Data solely to provide and improve the Service in accordance with our Privacy Policy.

5.2 Data Retention After Cancellation

Upon cancellation or termination of your account, your data will be retained for 30 days to allow for potential reactivation or data export. After the 30-day retention period, all Customer Data will be permanently deleted from our active systems. Customer Data may persist in encrypted database backups retained for disaster recovery purposes for up to 90 days. In the event a backup is restored, deletion records are re-applied to ensure previously deleted data is not reactivated.

5.3 Data Export

Depending on your subscription plan, you may export your data at any time while your account is active. We recommend exporting your data before your subscription ends.

5.4 Data Security

We implement industry-standard security measures to protect Customer Data, including encryption in transit (TLS), tenant isolation, and access controls. For detailed information, please refer to our Privacy Policy.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation
  • Infringe upon the intellectual property rights of any third party
  • Upload or transmit viruses, malware, or any other malicious code
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any purpose that is fraudulent, deceptive, or harmful
  • Resell, sublicense, or redistribute the Service without prior written consent
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service
  • Use automated tools (bots, scrapers) to access the Service except through our official API and within your plan's rate limits

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy.

7. Intellectual Property

7.1 Our Property

The Service, including its source code, design, logos, documentation, and all related intellectual property, is owned by Dependra and is protected by Swedish and international copyright, trademark, and other intellectual property laws.

7.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable, perpetual license to use such feedback without compensation or attribution.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Dependra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.
  • Dependra's total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Dependra for the Service during the twelve (12) months preceding the claim.
  • Dependra does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

9. Indemnification

You agree to indemnify, defend, and hold harmless Dependra and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Any Customer Data you submit to the Service

10. Service Availability and Modifications

10.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice.

10.2 Modifications

We reserve the right to modify, update, or discontinue any aspect of the Service at any time. For material changes that negatively affect your use, we will provide at least 30 days' notice. If you do not agree with the changes, you may cancel your subscription.

11. Termination

11.1 Termination by You

You may terminate your account at any time through your account settings. Cancelling your subscription and deleting your account are self-service actions that do not require contacting us.

11.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you:

  • Breach these Terms
  • Fail to pay applicable fees after a reasonable grace period
  • Engage in conduct that we determine, in our sole discretion, is harmful to the Service, other users, or Dependra

11.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately (or at the end of your billing period for voluntary cancellations). The data retention policy in Section 5.2 applies.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles.

In compliance with applicable European Union regulations, including the General Data Protection Regulation (GDPR), we process personal data as described in our Privacy Policy.

Any disputes arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Sweden.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the "Effective Date" at the top of this document
  • Notify you via email or through the Service at least 30 days before the changes take effect
  • Provide you the option to review the updated Terms before they become effective

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Enterprise agreement, constitute the entire agreement between you and Dependra regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
